Shardul Amarchand Mangaldas & Co. and Katten Muchin Rosenman have acted as the legal counsel to Inventurus Knowledge Solutions and its wholly-owned subsidiary, Inventurus Knowledge Solutions, Inc., on the acquisition of a 100 percent stake by IKS Inc. in TruBridge Inc., a Delaware-based healthcare technology company, for a total consideration of up to USD 565 million. Cyril Amarchand Mangaldas and Sullivan Cromwell LLP guided TruBridge on this acquisition.
The transaction is being implemented through a reverse triangular merger in the U.S. in which IKS Next Horizon, Inc., a wholly owned subsidiary of IKS Inc., will be merged with TruBridge Inc., resulting in TruBridge Inc. surviving as a wholly owned subsidiary of IKS Inc.
This transaction represents a significant acquisition by IKS in the healthcare technology sector and involves a multi-layered cross-border structure requiring coordination across Indian and U.S. legal and regulatory frameworks, including navigation of Indian exchange control regulations.
